Setting and maintaining the highest quality thresholds for CNR governance balanced with delivering streamlined secretariat functions and management information across CNR to reduce overall spend on governance
Manage and provide strategic secretariat support to the Company Board and delegated sub-Committees by organizing board and committee meetings while ensuring compliance with legal and regulatory requirements as well as obligations under Data Protection are met
Facilitate communication between the board of directors and other senior management
Support the Non-Executive Directors in delivering their oversight roles
Ensure continued the Company Board effectiveness on behalf of the Non-Executive Directors and the company directors
Oversee and maintain corporate records, prepare and file legal documents to ensure compliance with regulatory requirements and corporate governance standards for all offices across India
Create and collate the CNR Annual Report and the Directors\u2019 Report every year, working with teams from across CNR
Provide administrative support to senior management and assist with corporate governance matters including policy development.

Knowledge,Skills, Training and Experience
Essential:
A qualified Company Secretary having good corporate experience of at least 5 to 7 years preferably in media or entertainment industry
Comprehensive understanding of all Indian corporate laws including the Companies Act and FEMA regulations
End-to-end experience of handling statutory or procedural requirements of holding board and subcommittee meetings, shareholders meetings, distributing materials and facilitate communication
Adept at managing numerous, diverse senior and executive level stakeholders, often operating under tight timescales and managing numerous competing priorities
Experience of dealing with external/governmental stakeholders
A convincing and persuasive communicator, able to establish effective and collaborative relations across CNR departments, and external agencies/stakeholders where required
Act as the conduit to effective communication and influence down the management hierarchy.
Possesses a strong understanding of the Media industry and relevant in-depth knowledge of current industry trends and issues relating to their functional area.
A high level of integrity, discretion and confidentiality, with the ability to handle sensitive and confidential information appropriately.
