Responsibilities:
Direct Responsibilities:
- Provide support and legal advice to transaction banking, corporate banking, global markets, and custody businesses. Additionally capital markets back up/support.
- Develop standard agreements and templates together with legal guidelines for products and documentation as appropriate.
- Management of the legal affairs and legal risks of the businesses of the Bank and other entities in India.
- Helping business lines and functions structure transactions, products, contracts, set up procedures along best practices, negotiate arrangements and legal terms with third parties, resolve legal problems, and propose and advise on solutions that help the business lines complete their transactions/resolve issues within the bank's operational/legal framework.
- Provide legal advice and support as required generally by business teams and other functions like human resources, finance, compliance etc.
- Generally advise the Bank branches, subsidiaries and affiliates, as required, on legal issues arising from the organization and management of the relevant legal entities within India including corporate structure governance and operations.
- Monitor trends in the regulatory and statutory environment for their impact on an organization and suggest an action plan for addressing them.
- Keeping abreast with latest legal developments.
- Co-ordination with global legal team to develop & implement legal function goals and objectives and best practice along with streamlining housekeeping and reporting activities.
- Advise and support businesses in relation to the structuring, negotiation and execution of third party agreements entered into by relevant legal entities within India
- Advise and provide support in relation to setting up/launching of new products or structuring any deals including drafting/vetting and negotiating all contracts, agreements and other documentation.
- Provide legal support to analyze and assess contractual risks in credit and other agreements and documents to protect the interest of the Bank.
- Monitor legal developments which may affect the businesses especially bank business operations and provide appropriate legal advice and support in relation to such issues.
- Assist the General Counsel in compliance with all Group and Bank legal policies and assist in setting up, where necessary, relevant local legal policies and procedures to reflect specific legal requirements of India.
- Advise on substantive legal issues and questions of law.
- Provide legal advice and support and transaction management services for all Bank business activities.
Contributing Responsibilities:
- Provide legal advice and transaction support services.
- Provide advice and support in relation to setting up/launching of new products for the Bank.
- Provide advice and support in structuring any deals including drafting/vetting/negotiating all documentation in transactions between the Bank and its clients.
- Assist in evaluation and conduct of due diligence for all Bank transactions including property related matters and highlight concern areas and recommend risk mitigation strategies/options.
- Develop CIB standard agreements, training, know how and update agreements and other legal templates.
- Exchange information with other lawyers within the Group as regards local law issues, including by participating in practice groups.
- Globally ensure the management of legal risk in India
- Generally, contribute to the permanent control of legal risk - identifying, monitoring, control and reporting of legal risks- .
- Monitor legal developments affecting or potentially affecting the Branch and the business operations and ensure that relevant persons are kept informed of such changes and that legal documentation reflect those changes.
- Keep the Head of Legal informed of any major legal issue or risk affecting or potentially affecting the company.
- Generally, ensure close interaction with the Head of Legal India and promptly inform them of any major legal issue or risk affecting or potentially affecting the company.
- Participate in any periodical call/meeting as may be organized by the Head of Legal India and CIB Legal Head for the APAC Region.
- Immediately report any matters which potentially expose the Bank Group or its managers or employees to criminal, regulatory or material reputation risk or raising questions of principle, as per the Group Legal Department's procedure.
- Fulfill any other reporting obligations as have been/shall be specified from time to time by Head of Legal India.
Technical & Behavioral Competencies:
Technical:
- A qualified lawyer from a premier Indian/ international university
- Good command of the law and excellent knowledge of the Indian legal system
- Strong communication skills and very good command of the English language
- Must demonstrate attention for detail, and possess an investigative and questioning nature
- Demonstrate strong interpersonal skills with the ability to communicate and consult at all levels, especially with senior management and external stakeholders
- Ideally be flexible and possess a hands-on work style
- Be a proactive business partner and a strategic thinker
- Ability to operate effectively in a matrix structure environment
- Must be responsive, able to work under pressure and foster and contribute to a collegiate and friendly working environment
