Ensure compliance with the Companies Act, SEBI regulations, IRDA, FEMA, and other applicable corporate laws
Handle board meetings, general meetings, and drafting of minutes, resolutions, and notices
Maintain statutory registers, filings, and ensure timely submission of regulatory documents
Advise management on corporate governance best practices and regulatory changes
Assist in applying for new licenses with regulators based on business needs
Coordinate with investors for information exchange, periodical compliance reports, etc.
Legal Compliance:
Draft, review and negotiate contracts, agreements, NDAs, and MOUs
Ensure compliance with labour laws, data privacy regulations, and other business-related legal requirements
Assist in regulatory filings, liaising with authorities such as MCA, SEBI, RBI, and other regulatory bodies
Handle legal disputes if any and coordinate with external legal counsel as needed
Conduct legal risk assessments and provide solutions for business operations
Regulatory Risk Management:
Monitor changes in laws and regulations affecting the company s operations
Implement policies for regulatory compliance and internal controls
Conduct due diligence for business transactions, MAs, and investment deals
Requirements:
Company Secretary qualification from ICSI
LLB/LLM from a recognized university
At least 2-3 years of experience either in a legal secretarial firm having handled different engagements or experience in a corporate legal secretarial role
Strong knowledge of corporate laws, SEBI regulations, FEMA, and labour laws
Excellent drafting and communication skills, strong attention to detail
Ability to handle multiple stakeholders and work in a dynamic environment with great pace

Experience in the fintech/financial services/startup sector
Exposure to fundraising, investor relations, and regulatory filings
