Compliance Manager

The Compliance Officer ensures that the Portfolio Management Services and AIF operates in compliance with all regulatory requirements, industry standards, and internal policies. This role involves monitoring, interpreting, and enforcing regulations applicable to AIFs in India, and supporting the fund management team in maintaining high levels of compliance and ethical conduct.

Key Responsibilities:

1. Regulatory Compliance:
• Stay updated on laws, regulations, and guidelines related to PMS in India (SEBI Regulations, Companies Act, etc.).
• Implement and monitor compliance with regulatory requirements imposed by the Securities and Exchange Board of India (SEBI) and other relevant authorities.
• Prepare reports and filings to regulators, ensuring timely and accurate submissions.
2. Risk Management:
• Identify potential areas of compliance risk and assist in mitigating those risks.
• Oversee internal risk management processes to ensure the funds operations are in line with applicable regulations.
3. Internal Controls and Procedures:
• Establish and maintain internal controls, procedures, and systems for ensuring compliance with regulatory requirements.
• Conduct periodic compliance reviews, audits, and testing.
• Coordinate with internal audit teams to evaluate and improve the effectiveness of controls.
4. Monitoring and Reporting:
• Monitor fund activities and transactions to ensure compliance with the funds investment objectives and strategies.
• Review and approve all compliance-related documentation, including fund offering documents, shareholder communications, and investment agreements.
• Prepare regular compliance reports for senior management and the board of directors.
5. Advisory and Training:
• Provide guidance to senior management and other departments on compliance issues.
• Conduct training sessions to raise awareness about regulatory changes, compliance best practices, and ethical conduct.
6. Investigator and Issue Resolution:
• Investigate potential compliance breaches and ensure corrective action is taken.
• Address any conflicts of interest, insider trading concerns, or other issues
7. Liaison with Regulators:
• Act as the primary point of contact with regulatory bodies such as SEBI, RBI, and others.
• Engage with legal advisors, auditors, and other stakeholders on regulatory matters.
8. Documentation and Record-Keeping:
• Maintain thorough documentation of compliance processes, regulatory filings, and internal audits.
• Ensure that all necessary records are preserved in compliance with legal and regulatory requirements.

Educational Qualifications:

• A bachelors degree in Law (LLB) / Company Secretary (CS).
• Professional certification such as a Compliance Officer Certification or a similar relevant certification is preferred.

Experience:

• 4+ years of experience in compliance or regulatory roles, preferably within an PMS, AIF, mutual fund, or asset management firm.
• Strong understanding of SEBI Regulations, Companies Act, SEBI (Listing Obligations and Disclosure Requirements) Regulations, and other relevant financial laws in India.
• Prior experience with alternative investment funds and an understanding of investment strategies, structures, and vehicles.
• Knowledge of risk management frameworks, auditing, and internal control practices.
