We are seeking a qualified and detail-oriented Company Secretary to join our team. This role is ideal for freshers or candidates with up to one year of experience who are eager to build their careers in corporate governance and compliance. The successful candidate will assist in ensuring that the company complies with statutory and regulatory requirements, while also being comfortable with the responsibility of name lending.
Key Responsibilities :
- Assist in ensuring that the company adheres to legal and regulatory requirements.
- Prepare and maintain statutory books, including registers of members, directors, and secretaries.
- Support the preparation and filing of statutory returns, including annual returns, and other necessary filings with regulatory bodies.
- Assist in organizing and preparing for board meetings, including drafting agendas, taking minutes, and following up on action points.
- Provide support in ensuring that the company s governance framework is adhered to, including compliance with the companys Articles of Association and corporate governance codes.
- Assist in drafting and reviewing corporate governance policies and procedures.
- Maintain accurate records of board and committee meetings.
- Act as a point of contact between the board, shareholders, and external stakeholders.
- Assist in managing correspondence and communication with regulatory bodies, auditors, and other external parties.
- Ensure that relevant information is communicated to stakeholders promptly and accurately.
- Be willing and comfortable with name lending responsibilities as required by the company, ensuring that all actions taken are within the bounds of legal and ethical standards.
Administrative Duties :
- Support in drafting and reviewing legal documents, contracts, and agreements.
- Assist in maintaining the companys corporate records, ensuring that all documents are up to date and in compliance with legal requirements.
- Provide administrative support to the legal and compliance team as needed.
Qualifications :
- A qualified Company Secretary (CS) with certification from the Institute of Company Secretaries of India (ICSI) or an equivalent qualification.
- Freshers or candidates with up to 1 year of relevant experience in corporate governance, compliance, or a similar role.
- Strong understanding of corporate law, regulations, and governance practices.
- Proficiency in Microsoft Office Suite, particularly Word and Excel.
- Excellent communication skills, both written and verbal.
- High level of integrity and commitment to ethical practices.
- Strong attention to detail and accuracy.
- Ability to work independently and manage multiple tasks efficiently.
- Strong organizational and time management skills.
- Willingness to take on responsibility and make decisions.
