Principal Associate - Venture Capital/Mergers & Acquisitions/General Corporate

Key Responsibilities :

Corporate Advisory :

- Provide strategic legal advice on general corporate matters, including mergers & acquisitions (M&A), joint ventures, private equity, venture capital, and restructuring.

- Assist clients in regulatory compliance, corporate governance, and company law matters.

Transaction Management:

- Draft, review, and negotiate transaction documents such as share purchase agreements, shareholder agreements, and asset purchase agreements.

- Conduct legal due diligence and manage cross-border transactions.

Compliance & Governance:

- Advise clients on compliance with applicable laws, regulations, and industry standards, including Companies Act, FEMA, SEBI regulations, etc.

- Assist in structuring transactions to ensure compliance with tax and regulatory requirements.

Team Leadership:

- Mentor and manage a team of associates, ensuring quality deliverables and adherence to timelines.

- Collaborate with other practice groups to provide integrated legal solutions to clients.

Client Relationship Management:

- Act as a primary point of contact for clients, ensuring their needs are met with high-quality legal solutions.

- Build and maintain strong relationships with clients to identify new business opportunities.
