Join Our Team! Seeking an Experienced Corporate Professional with a Strong Compliance Background!.

Are you an experienced professional with a strong background in corporate secretarial, legal, and regulatory compliance? Join our dynamic team and play a pivotal role in driving governance and compliance excellence as we continue to grow!.

Responsibilities:

Corporate Secretarial Compliance:

- Manage board and CSR committee minutes, convene meetings, and handle ROC filings (e.g , MGT-7, AOC-4).

- Maintain statutory records, oversee share-related compliances, and update the company's Memorandum and Articles of Association.

IRDAI Compliance:

- Ensure timely submission of quarterly, half-yearly, and annual returns.

- Manage BQP registrations, execute ToBA agreements for co-broking/reinsurance, and ensure adherence to IRDAI regulations.

Internal Audit & Risk Management:

- Conduct risk-based audits across departments (Finance, HR, Operations), prepare audit reports, and present findings to management.

Legal & Regulatory Compliance:

- Draft/review agreements (NDAs, vendor contracts, leases), ensure compliance with statutory laws (IRDAI, IT, labor), and assist with litigation matters.

Miscellaneous:

- Analyze tender documents, prepare submissions, and represent the company in external nominations and awards.

Requirements:.

- Degree in Company Secretary (CS).

- In-depth knowledge of corporate secretarial practices and IRDAI regulations.

- Strong understanding of legal, regulatory, and compliance frameworks.

Proven experience with ROC filings, internal audits, and drafting legal agreements.

Excellent communication and organizational skills with attention to detail.

Ability to work independently and handle multiple tasks effectively.
