Job Responsibilities: Drafting , reviewing, vetting and executing various types of agreements and contracts for various departments in the company including service agreements, clinical trial agreements, contract staff letter of engagements, consulting agreements, Principal to Principal Agreements, Carrying and Forwarding Agent agreements.
confidentiality/ Non Disclosure agreements and other types of legal agreements.
Advising the Organization on disputed matters and evaluate legal best legally viable options for effective disposal of issues that may end up in court/s and cases under litigation.
Select and appoint legal consultants, solicitors and company secretary/s on need basis and regularly meet them for productive results.
coordinateregularly with legal consultants for validating decisions on company legal issues and speedy movement of litigation cases.
Settle plaints, replies, and other related documents/drafts for cases and arbitration.
Represent the Company before various government and regulatory authorities for litigation matters, resolution of issues and obtain necessary permissions / licenses.
Attend courts for important cases especially Cheque bouncing cases, Recovery of Money cases, property matters, cases related to performance of specific contracts, matters concerning the companys brands (IPR cases).
Update the management of the developments related to litigations periodically.
Liasoning with various governments departments, agencies, statutory bodies for obtaining licences, NOCs, approvals and permissions.
Trademark registrations for brands.
Drafting: Draft transaction and contract related documents from a legal perspective and ensure that the associated risks for the Organization are minimised.
Participate in negotiation of key business contracts and provide inputs from a legal perspective.
Validate documents and business deals for legal compliance.
Evaluate and ensure due-diligence in legal function.
Drafting of Sale Deeds, Agreement for Sale, Memorandum of Understanding and carrying our title search reports.
Advisory.
Evaluate the impact of evolving legal and statutory regulations on the company.
Intellectual Property Rights.
Coordination with the IPR attorneys for registration, opposing and defending of Trademarks.
Register, renew and follow up on IPR related issues both domestic and international brands.
Track changes in International classifications under Trade Mark Laws and keep abreast of latest laws.
Act as the principle point of contact for all matters involving Intellectual Property (IP) Rights Infringements and copyright infringements.
Lead evidence based Investigations andprocedures relating to Intellectual Property Infringements.
Establish & review Brand protection systems by ensuring unique identification labeling and other systems or products to reduce Intellectual Property violations.
Establish a comprehensive Intellectual Property infringement policy and strategy to minimise any losses.
Communicate the policies, strategies and target expectations to internal and external stakeholders.
Job Requirements.
Educational Qualification LLB.
Previous Experience Should have handled the above profile for a period of 7-10 years.
Industry to be from Preferable Pharmaceutical.
Competencies (Behavioural Skills) required Strong communication both verbal and non-verbal as well as negotiating skills, should be bale to work in a team.
