We are a part of conglomerate which is having $4bn energy company, looking do double in couple of years and maybe IPO even before that. We need a competent professional to Head our equity vertical and also investor relation for this business as well as other subsidiaries
Role Description:
Responsible for developing and executing strategies to enhance shareholder value and foster effective communication between the company, its shareholders and the broader investment community. This role involves managing equity-related transactions, cultivating strong relationships with investors, analysts and stakeholders and ensuring compliance with relevant regulations while maintaining the company's public image and reputation.
Key accountabilities/responsibilities:
Equity Management:
1. Manage and oversee group wide equity-related transactions such as capital raises, share buybacks and dividend policies.
2. Collaborate with legal, finance and treasury teams to ensure compliance with securities laws and disclosure regulations.
3. Manage equity distribution, investor targeting, and communication for new and existing stakeholders.
4. Handle IPO exercise or listing.
Investor Relations:
1. Develop and implement an investor relations strategy that aligns with company's vision and financial goals.
2. Serve as the primary point of contact for investors, analysts and financial media.
3. Plan and execute investor roadshows, earnings call, and annual shareholder meetings.
4. Prepare and present accurate and compelling financial reports, earnings releases and investor presentations.
5. Monitor and analyse market trends, shareholder composition, and competitor performance to inform strategy.
Stakeholder Engagement and Management:
1. Foster transparent communication between the company's leadership, institutional investors, retail shareholders and other stakeholders.
2. Act as a trusted advisor to senior management, providing insights and recommendations based on investor feedback.
3. Build relationships with internal and external stakeholder's including legal, investment banks and consultants.
4. Provide regular updates and reports to senior leadership on deal progress and outcomes.
Regulatory Compliance:
1. Ensure compliance with financial reporting standards, stock exchange requirements, and relevant securities regulations.
2. Manage and mitigate risks related to equity markets and investor relations activities.
3. Manage and oversee the preparation of transaction documentation, including contracts and agreements.
Merger and Acquisition:
1. Analyze industry trends, competitive landscapes, and potential opportunities for growth through mergers, acquisitions, and partnerships.
2. Conduct detailed financial modelling and valuation analysis of potential targets.
3. Collaborate with internal with internal teams and external advisors to assess risks and synergies.
4. Structure deals, including negotiation of terms, pricing, and financial arrangements.
5. Lead due diligence processes, including financial, legal, operational, and strategic evaluations.
Looking for a person who has:
- Over 10 years of experience in Investment Bank
- Has handled IPO Listing exercise
- Expert in financial modelling
- Should have relationships in equity Fraternity
- Experience of PE fund raise, project finance or treasury and strategy
- Strategic thinker and experience in helping promoter in Investor relations
Educational Qualification:
Master's degree in Finance, Economics, Business Administration or related field (MBA or CA or CFA preferred)
