Urgent Hiring: Company Secretary

Role & responsibilities:

• Preparation for board / committee / general meetings of Company and other associate/group companies, as required, on Quarterly basis.
• Drafting agenda and minutes of Board and Shareholders meeting.
• Compliances as per SEBI Listing Regulations, SEBI PIT Regulations, ESOP Regulations and other relevant laws.
• Sending calendars, emails to various departments for co-ordination of agenda items and convey decisions taken in the meeting to the concerned departments.
• Promptly revert to enquiries on calls and email.
• Handle tools available for compliances of PIT Regulations, Board Evaluation etc.
• Processing dividend to shareholders and related compliances
• Processing demat and physical share transfers
• Support in acquisition and any event-based assignments
• Liaising with ROC, RBI, RTA, Depositories, Shareholders, Directors, Investors on time-to-time basis
• Preparation of annual filing XBRL, MGT7 and other e-forms
• Constant monitoring of all the laws and relevant update applicable to Sula and its subsidiaries
• Statutory registers and record maintenance (books, attendance registers, common seal, digital signature)
• Management of vendor payments as per procedures of the Company
• Interpretation of provisions laws and listing regulations and identifying its impact on SVL and its subsidiaries.

Preferred candidate profile:

• Qualified Company Secretary
• Minimum 5/6 years of experience in handling secretarial activities with listed company.
• Good drafting & communication skills (resolutions, emails etc)
• Capable of handling routine compliance independently, if required
• Time management and attention to details
• Multitasking capabilities
