About:
We are seeking a highly competent and detail-oriented Company Secretary (CS) for a Non Banking Financial Company (NBFC) to manage corporate governance, board & committee meetings, and ensure regulatory compliance with RBI, ROC, SEBI, and BSE/NSE.
The ideal candidate should have experience in handling secretarial functions and ensuring adherence to NBFC-specific regulations.
Key Responsibilities:
- Board & Committee Meetings.
- Organize and conduct Board and Committee Meetings in compliance with statutory guidelines.
- Prepare and circulate agendas, notices, and board meeting materials in advance.
- Record and draft Minutes of Meetings and track follow-up actions.
- Schedule and coordinate meeting-related events, including board meeting dispatch dates.
- Oversee and manage the VC (Video Conferencing) and E-voting processes efficiently.
- Regulatory Compliance & Filings.
Ensure timely filing of statutory documents and reports with ROC, RBI, SEBI, and BSE/NSE, including:
- Annual returns, financial statements, and changes in company details.
- Post-Board Meeting / General Meeting filings to relevant authorities.
- Quarterly / Half-yearly regulatory filings as per NBFC compliance norms.
- Ensure compliance with RBI guidelines, including periodic returns and reporting obligations.
- Maintain updated statutory records and registers in accordance with NBFC regulations and Companies Act.
- Coordinate with auditors and regulatory authorities for inspections and compliance-related matters.
Documentation & Coordination:
- Prepare and manage meeting-related documents, resolutions, and approvals.
- Follow up for necessary approvals and supporting documents from stakeholders.
- Ensure adherence to NBFC-specific regulatory guidelines issued by RBI.
- Liaise with RBI, ROC, SEBI, Stock Exchanges, and other regulatory authorities for necessary approvals and filings.
Knowledge:
- Strong understanding of Companies Act, RBI NBFC Regulations, SEBI Listing Regulations, and FEMA guidelines.
- Experience in handling RBI filings, SEBI compliance, and stock exchange disclosures.
Skills:
- Excellent organizational, analytical, and communication skills.
- Strong attention to detail and ability to manage multiple regulatory filings.
- Proficiency in MS Office (Word, Excel, PowerPoint) and compliance-related software.
Preferred Qualifications:
- Prior experience in NBFC / BFSI / Listed Company with 4-9 years of experience.
- Knowledge of RBI regulatory frameworks, e-voting, and corporate governance best practices.
