Required skill:
- 7-10 Yrs of experience in Secretarial work
- Candidates from Practicing CS & CA firms will only be considered
- Excellent communication
- Hold a team of minimum of 8-12 people.
- Male preferred
Any candidate holding COP can also be considered technically extremely sound has experience of handling incorporations, all secretarial assignments, secretarial audits, listed company compliance as well
JOB DESCRIPTION:
- Advisory on various matters under the Companies Act
- Advisory/structuring of cap table, advising on suitable instruments, changes in promoter shareholding, investor onboarding, ESOP advisory etc
- Drafting/Reviewing of Term sheets, Shareholder's Agreement, Share Subscription Agreement, Share Purchase Agreements, Share Transfer Agreements etc
- Handing of Incorporations of Companies both Indian and Subsidiaries of Foreign Companies and LLPs.
- Handling Preparation of resolutions, notices and agendas, Minutes and other papers for board meetings, committee meetings, and annual general meetings (AGMs) and following up on action points.
- Formation of Partnership firms (including drafting of agreement and registration formalities with Registrar of firms).
- Maintenance of statutory books and registers required under Companies Act.
- ROC Compliances -handling the preparation of various annual forms and filing the same on a regular basis including Directors report/Annual Report.
- Handling of ad-hoc assignments - Capital infusion (Rights, Private Placement, Preferential Allotment ), change in board constitution, Transfer of shares, Shifting of registered office, conversions of entities, voluntary liquidations, striking off of the company etc.)
- Handling assignments regarding conversion of entities i.e conversion into LLP into Pvt Ltd and vice versa,
- Handling adjudication and compounding matters with the CRC and ROC bench
- Handling of LLP annual compliances and reporting changes in Partners/registered office etc.
- Overall assistance in Compliance of the Companies Act 2013 and LLP Act.
- To track down updates in the Companies Act and related laws and ensure timely compliance.
- Liaising with external regulators and advisers whenever required
