Role Overview:

We are looking for a qualified Company Secretary (CS) to lead compliance and secretarial responsibilities for our NBFC vertical. The ideal candidate must possess strong knowledge of IRDA, NBFC regulations, FEMA guidelines and should be capable of handling regulatory filings, reporting, and board-level coordination.

Must-Have Qualifications & Skills:

- Qualified Company Secretary (CS) with 5-8 years of post-qualification experience.

- Prior experience in NBFC, IRDAI-regulated entities, and FEMA compliance is mandatory.

- Strong understanding of FEMA regulations, especially relating to foreign investment filings (FCTRS, FCGPR, etc.).

- Hands-on experience with ROC filings, RBI returns, Board Meeting coordination, and maintenance of secretarial records.

- Strong attention to detail, communication skills, and stakeholder management.

Key Responsibilities:

- Ensure timely and accurate compliance with all statutory and regulatory requirements under Companies Act, RBI-NBFC regulations, IRDAI, and FEMA.

- Draft and manage Board, Committee, and Shareholder Meeting notices, agendas, minutes, and resolutions.

- Handle filings and regulatory reporting with RBI, MCA, IRDA, and SEBI (if applicable).

- Manage FEMA-related compliances including FCTRS, FCGPR filings and liaise with RBI-authorized banks as required.

- Maintain statutory registers and update records in accordance with company law.

- Liaise with internal and external stakeholders including auditors, consultants, and regulators.
