About Us:

POSHN is a new and exciting India-based food supply chain venture founded in 2020 and supported by leading US based VCs, large banks and leading NBFCs.

Were on a mission to organise and digitally transform global food-supply chain market. We are applying first principles thinking and re-imagining the solutions with a tech-product first mindset.

The food-supply chain space is gigantic, complex and has been largely un-organised. So, we are taking the hassle out of it by creating a platform that empowers our products and facilitates a better, efficient and seamless experience between each stakeholder.


Team:

Core team holds together alumni of BITS Pilani, IIM & XLRI with each having decade long experience in the fields of supply chain, technology and product. Previously, we have built several highly impactful tech-product start-ups from ground up.


About the Role:

We are seeking a Fully Qualified Company Secretary to ensure compliance with corporate governance and statutory regulations. The ideal candidate will manage the company’s statutory obligations, records, and filings while providing expert advice on corporate matters.


Responsibilities:

  • Responsible for Preparing and filing all the forms/reports with respect to Companies Act, 2013.
  • Prepare, conduct and finalize Board Meetings and draft Minutes for all Board Meetings including Annual General Meeting.
  • To assist and advise the Board in ensuring good Corporate Governance & in complying with the Corporate Governance requirements and best practices.
  • Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
  • Maintain statutory books, including registers of members, directors, and secretaries.
  • Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
  • Liaise with external regulators and advisers such as lawyers and auditors.
  • Apprise/Advise the Senior Management Teams on all critical Compliance related matters
  • Liaise with the finance team to ensure inter-company transactions are duly recorded and are compliant with the Relevant Law.
  • Take an active role and provide valuable input to the management decisions related to sharing issues, mergers, and takeovers.
  • Managing FSSAI compliances registrations and communication with the relevant consultants for FSSAI registrations.
  • Assist the finance team in handling Compliance/scrutiny in Tax related matters.
  • Manage contractual agreements with vendors, customers and lenders.
  • To maintain updated Statutory Registers & record, in accordance with the requirements of the Act.

Desired Candidate Profile:

  • Fully Qualified Company Secretary with ICSI membership.
  • Minimum 2 Years of work experience in corporate and legal matters, preferably with early-stage startup companies is advantageous, as it showcases the adaptability to fast-paced and dynamic environments.
  • Strong knowledge of corporate laws, FSSAI compliances, FEMA regulations, and governance practices.
  • Hands-on experience with fundraising activities and regulatory compliance.
  • Excellent organizational, communication, and problem-solving skills with a knack for identifying and mitigating risks.
  • Ability to handle confidential and sensitive information with discretion.
  • Proficient in MS Office and corporate governance software/tools.
