Company Secretary

Roles & Responsibilities:

• Handling formalities pertaining to appointment/resignation of Directors
• Sending Circular Resolutions to Directors
• Understanding of various and critical provisions of Companies Act, 2013 and ensuring compliance of the same
• Preparation of various agendas and papers for Board Meetings, Committees, and annual general meetings (AGMs)
• Handling of all formalities relating to convening of Board and Committee meetings, coordinating with Directors for meetings, their disclosures, Annual General Meeting / Extra-Ordinary General Meeting including sending of notices
• Drafting and circulation of minutes of Board and Committee meetings and AGM/EGM
• Preparation and filing of Annual Return / Annual forms / XBRL filings and e-filing of various statutory forms
• Updating of Statutory Registers and maintenance of all documents and records including agenda papers and minutes
• Handling of Secretarial Audit
• Preparation and review of applicable policies as per Companies Act, 2013
• Ensuring compliance of the secretarial standards applicable to the Company
