Responsibilities
- To handle M&A engagements across the groups and business plan development initiatives.
- Carry out the documentation w.r.t the acquisitions till the closure of the deals;
- Responsible Financial modelling, Due diligence, Valuation, Restructuring, Transaction advisory
- To travel on need basis for interacting with clients and other stakeholders.
- Prepare and manage the confidentiality agreements and gather and analyze preliminary data such as audited account, shareholding and leadership details;
- Evaluate targets based on their business and financial condition and outlook and recommend deal structure;
- Advise on the Transaction process and tactics, in particular interfacing with the potential targets, its shareholders or advisors and assist the business leaders in preparing negotiation documents required to progress a transaction towards completion including term sheets, heads of agreements, indicative offer letters or exclusivity agreements as required;
- Coordinate the due diligence and coordinate the activities of other external advisors (e.g., legal counsel, auditors) as required by the company;
- Assist negotiations and related strategy, attend meetings and give comments on sale and purchase documentation until signing/closing as required by the company;
- Validate the acquisition contracts, representations and warranties;
- Coordinate the closing of the deal, including financial settlements.
- Reviewing Internal and External Communications: drafting company newsletters, reports, pitch decks
- Managing the meeting cadence for the board of directors and leadership team, ensuring materials are sent in advance, time is well spent, and objectives are achieved.
- Good understanding of M&A, restructuring the organisation.
- Short- and long-term Mergers and Acquisition strategy
- Should have strong business acumen
- Strong in value creation and lean management.
- Create and add value to all the task managed
- Should act as a mentor and give right findings
- Prepare case study and reports to be presented.
Position Experience and Qualification:
- An CA with 1 to 4 yrs 0f post qualification experience in M&A, financial modelling and strategy.
- Prior experience working with a consulting firm handling Mergers and acquisition is a must.
- Willing to relocate to Chennai HO.
- Excellent communication and innovative skills
