Responsibility:
- The candidate would primarily be required to handle M&A engagements across the groups and business development initiatives. The candidate should be able to travel on need basis for interacting with clients and other stakeholders. Natural inclination for taking leadership of the project delivery, inquisitiveness, proactive delivery are desirable traits. In summary, entrepreneurship in practice building is the preferred mode of working with us.
- The team assists the management across the breadth of advisory activities including strategy for new businesses and inorganic/ organic growth, value enhancement/ profitability improvement, new market entry, business plan validation and feasibility studies, transactions due diligence, business and organizational reviews, operations assessment.
- Prepare and manage the confidentiality agreements and gather and analyse preliminary data such as audited account, shareholding and leadership details;
- Evaluate targets based on their business and financial condition and outlook and recommend deal structure;
- Advise on the Transaction process and tactics, in particular interfacing with the potential targets, its shareholders or advisors and assist the business leaders in preparing negotiation documents required to progress a transaction towards completion including term sheets, heads of agreements, indicative offer letters or exclusivity agreements as required;
- Coordinate the due diligence and coordinate the activities of other external advisors (e.g. legal counsel, auditors) as required by the company;
- Assist negotiations and related strategy, attend meetings and give comments on sale and purchase documentation until signing/closing as required by the company;
- Validate the acquisition contracts, representations and warranties, ;
- Coordinate the closing of the deal, including financial settlements.
- Support a potential legal reorganization of some companies, fiscal and financial optimization;
- Follow-up any post-closing obligation resulting from the acquisition (earn-outs );
- Prepare shareholder resolutions and follow-up annual account and post-closing performance.
- Drafting, Reviewing and providing inputs on all M&A Agreements and Contracts/tenders;
- Managing and Maintaining the Litigation(s), Contract(s) & Compliance in software portal
- Updating of the MIS on weekly basis Litigation & Contracts, Agreements, Notices etc., as per Business requirement.
- Follow up with the counsels and preparing brief on the matter(s) on each listing(s) date(s).
- Maintenance of case diary/calendar event(s) including indexing of each case file(s)
- Follow-up on regular basis on all litigations at Group level for early disposal of matter(s) and provide reports (MIS) on weekly basis to the Group Legal Counsel.
- Research and preparing report on the core legal areas for analysis as per requirements from time to time
- Assist in matters of land registration
- Travel to courts and public offices to monitor the progress of litigations and to facilitate the same.
- Arranging case file(s) both physical/softcopy and updating in portal with scan copies of the case documents.
Desired Profile
- CA or MBA with prior experience in M&A preferably with 1 to 5 yrs of experience.
- Excellent communication skill in English, Tamil & Hindi (optional).
- Good interpersonal and analytical skills required.
- High potential, next generation finance leader;
- Min 1-5 years in Audit (big 4) / Consulting, MA (industry or boutique), Investment Banking or Private Equity;
- Outstanding technical / conceptual understanding of finance valuations ;
- Ideally, significant experience with large legal matters like MA and other Due Diligence; post-MA integration, large remediation programmers.
- Running multi-jurisdictional Diligence at scale.
- Drafting and reviewing Diligence reports, etc. and other transactional documents.
- Consulting (preferably with experience in growth strategy, market assessment, due diligences, business efficiency/ performance, cost reduction, M&A, Pvt. Equity and operations.
- Strong analytical bent of mind and a structured problem-solving approach
- High level of strategic and creative thinking
- Extremely high level of comfort with spreadsheets, MS Word and MS PowerPoint
