1. Comply with the Companies Act, and carry out filing, registering any document including forms, returns and applications to the Registrar of Companies within the prescribed time. The detailed list of documents to be filed with ROC is as under. This is illustrative and not exhaustive.
There are other event based compliances/forms to be submitted with the ROC, which will be submitted as and when required.
2. Comply with the Listing Agreement with the BSE, SEBI (Substantial Acquisition of Shares and Takeover) Regulations, 2011, SEBI (Prohibition of Insider Trading) Regulations, 1992 and related rules and regulations that are applicable to the company. Carry out filing of related certificates, forms and any other documents related thereto within the prescribed time. Prepare a list with purpose and period of filing.
3. Maintenance of secretarial records, statutory books and registers as specified by the Companies Act. Prepare a list of registers with purpose.
a. Register of Directors.
b. Register of Members.
c. Register of Loans, guarantee, security and investment.
d. Register of Charges.
e. Foreign register of Members and debenture holder if any.
f. Register of Directors' shareholdings.
g. Register of Contracts.
h. Register of Buy-back of securities.
I. Register of Payment of Dividend.
j. Register of Investors' Complaints.
k. Register of Documents executed under Common Seal.
I. Other registers as may be notified from time to time under various rules.
4. Arranging board/general meetings and preparing minutes thereof.
5. All work relating to shares and their transfer and transmission, handling shareholders grievances and acting as a liaison with the RTA.
6. Understand and study the accounting and Internal Audit system adopted by the company for the initial period of 6 months. In order to gain an in depth understanding of the accounting system, he shall also be required to post entries related to Purchase, Sales, Cash Book, Bank Book, Journals, etc. in the ERP system. During this period, he is also required to gain thorough knowledge of Direct & Indirect Taxes including Income Tax, TDS, VAT, Excise Duty, Service Tax, etc. This period of 6 months shall be regarded as training period.
7. At the end of the training period, he shall carry out the Internal Audit of the company and its associates and report the deficiencies to the management.
