Job Description
A team member who is self-motivated and dynamic, willing to take on multiple secretarial challenges in a fast paced environment, a team player with a strong legal acumen and a sense of professional integrity, great with interpersonal, organisational and communication skills and capable of bringing innovative ideas while approaching legal challenges.
Roles and Responsibilities
· Assisting in preparing and reviewing Notice, Agenda, Notes to Agenda and minutes of Board and Shareholder meetings
· Assisting in organising Board and General Meetings of the Company
· Assisting in preparing and reviewing Notice, Agenda, Notes to Agenda and minutes of Board Committee meetings
· Maintenance and updating of various statutory and internal registers/records under Companies Act, 2013
· Assisting in co-ordination in the process of ESOP compliances
· Adherence to Company law, FEMA and RBI compliances
· Assisting in incorporation of companies in India and abroad, if required
· Assisting in corporate restructuring in the Company
· Assistance in the preparation of annual report
· Liasoning with:
o registrar and share transfer agent for shares held in demat and related matters
o auditors (internal and statutory)
o consultants/lawyers in India and abroad
· Assistance in private equity investment related compliances
· Preparing and maintaining compliance calendar of the Company and its subsidiaries
· Assistance in compliance mapping of Charter and Transaction documents of the Company
· Assistance in tracking compliances on the Compliance Management Tool, Complinity
· Assistance in answering all investor, auditor and stakeholder queries
· Assistance in legal contracts execution
· Assistance in preparing and maintaining the team budget and expense tracker
· Assistance in handling invoice processing and management
· Assistance in overall legal operations
· Ability to prioritise and work simultaneously on multiple projects with efficient time management.
Skills and Expertise
· CS Final/Professional cleared candidates will be given first preference
· LLB pursuing candidates/graduates will also be given a preference
Other Considerations
· Basic knowledge of the Companies Act 2013, related Rules, FEMA provisions and other relevant regulations
· Microsoft Word, PowerPoint, Excel – basic skills
· Excellent interpersonal skills to effectively communicate with all stakeholders
