1. Regulatory Compliance:
- Ensure compliance with all statutory regulations applicable to a debtlisted entity, including SEBI (LODR) regulations, Companies Act 2013, and any other relevant guidelines.
- Act as the point of contact with regulatory bodies (e.g., SEBI, NSE, BSE) and ensure timely reporting and filing of statutory returns, disclosures, and other obligations.
- Ensure adherence to the highest standards of corporate governance, advising the board on best practices and implementing robust governance frameworks.
2. Board & Committee Support:
- Organize, coordinate, and attend board and committee meetings, ensuring compliance with regulatory guidelines and governance policies.
- Prepare accurate and comprehensive minutes for board meetings, committee meetings, and annual general meetings (AGMs), ensuring timely distribution and follow-up on action items.
- Provide guidance and support to board members on corporate governance matters, keeping them informed of regulatory changes impacting the company.
3. Corporate Governance:
- Develop and implement policies, charters, and governance manuals to strengthen corporate governance practices.
- Maintain statutory registers, records, and company policies in line with legal and regulatory requirements.
- Lead the preparation and submission of the annual report, corporate governance report, and any other required disclosures.
4. Stakeholder Communication:
- Serve as the main point of contact for shareholders and other stakeholders, addressing inquiries and ensuring effective communication.
- Oversee communication with credit rating agencies and debt investors, including the disclosure of financial results, earnings releases, and corporate announcements.
- Handle public announcements and press releases for material information in line with SEBI regulations.
