Job Description

Role & Responsibilities:

  • SEBI Listing Compliance:
  • Ensure timely and accurate compliance with SEBI regulations, including periodic filing of disclosures, shareholding patterns, and corporate governance reports.
  • Monitor and ensure compliance with the listing agreements and reporting requirements for listed entities.
  • Oversee compliance with SEBIs insider trading regulations, and ensure timely filing of related disclosures.
  • Companies Act Compliance:
  • Ensure adherence to the provisions of the Companies Act, including filings with the Registrar of Companies (RoC), annual general meeting (AGM) compliance, and director-related compliances.
  • Draft, review, and maintain statutory registers, minutes, resolutions, and other compliance documents.
  • Assist in the preparation and filing of annual financial statements and returns as required under the Companies Act.
  • RBI Regulations Compliance:
  • Keep abreast of changes in RBI regulations that impact the company and ensure compliance with the applicable laws.
  • Coordinate with the internal and external teams to ensure compliance with RBI-related filings and requirements, especially for financial institutions, if applicable.
  • Corporate Governance:
  • Support the board in its functioning, including scheduling and organizing board meetings, preparing agendas, and preparing minutes of meetings.
  • Ensure that the company complies with corporate governance practices and guidelines as prescribed by SEBI and other regulatory bodies.
  • Other Legal and Regulatory Compliance:
  • Keep track of changes in relevant legislation and ensure timely implementation of new requirements.
  • Liaise with external advisors, regulators, and legal teams to ensure smooth compliance operations.
  • Ad-hoc Legal Tasks:
  • Handle legal documentations related to shareholding and corporate structures.
  • Assist in the review of contracts, agreements, and other legal documents from a compliance perspective.

Preferred candidate profile:

Skills and Qualifications:

  • Essential:
  • Qualified Company Secretary (ACS) with 2-3 years of post-qualification experience in corporate governance, compliance, and legal matters.
  • Strong knowledge of the Companies Act, 2013, SEBI Listing Regulations, and RBI guidelines.
  • Experience in preparing and filing documents with the Registrar of Companies (RoC) and SEBI.
  • Strong understanding of corporate governance principles, legal documentation, and statutory filings.
  • Excellent communication, drafting, and organizational skills

Desirable:

  • Experience in handling legal and compliance matters for listed companies.
  • Knowledge of other regulatory frameworks such as FEMA, Income Tax Act, and IFSC guidelines.
