The Company Secretary will be responsible for ensuring the company complies with legal and regulatory requirements, managing corporate governance, and providing strategic advice to the board of directors.
The role involves :
1. Corporate Governance & Compliance:
Ensure compliance with Companies Act, 2013 and maintain statutory records, registers, and filings (MCA, ROC, RBI etc.). Organize and document Board Meetings, General Meetings, and Committee Meetings (agenda, minutes, resolutions, MSME, CSR, KYCs). Assist in drafting and reviewing agreements, contracts, MoUs, Trust, partnership etc.
2. FEMA & RBI Compliance:
Ensure compliance with Foreign Exchange Management Act (FEMA), including: Filing of FDI (Foreign Direct Investment) reports with RBI. ODI (Overseas Direct Investment) compliance for investments outside India. ECB (External Commercial Borrowings) reporting and approvals. Annual and event-based filings (FC-GPR, FC-TRS, SMF). Liaison with RBI, AD Banks, and regulatory authorities for approvals and clarifications.
3. Legal & Secretarial Functions:
Handle corporate legal matters, notices, and regulatory correspondence. Ensure timely filing of tax-related documents, including annual returns. Ensure intellectual property protection (trademarks, patents, copyrights). Support in corporate litigations and coordinate with external legal advisors.
4. Stakeholder Management:
Coordinate with auditors, consultants, and regulatory bodies for compliance and reporting. Support the Board in decision-making by providing legal and regulatory insights.
5. Liaison & Communication:
Act as a bridge between the company, regulators, shareholders, and stakeholders.
Handle investor relations, disclosures, and compliance reports
Coordinate with auditors, lawyers, tax advisors, and external regulatory bodies.
