Key skills for the job
Role & responsibilities
1. organising, preparing agendas for and taking minutes of board meetings and annual general meetings (AGMs);
2. maintaining statutory books, including registers of members, directors and secretaries;
3. dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders;
4. contributing to meeting discussions as and when required, and advising members of the legal, governance, accounting and tax implications of proposed policies;
5. monitoring changes in relevant legislation and the regulatory environment and taking appropriate action;
6. liaising with external regulators and advisers, such as lawyers and auditors;
7. Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
8. maintaining the register of shareholders and monitoring changes in share ownership of the company;
9. paying dividends and managing share option schemes;
10. Taking a role in share issues, mergers and takeovers.
11. entering into contractual agreements with suppliers and customers;
12. organize and lead compliance training in company
13. Document preparation for which are required by company law and company regulation
Preferred candidate profile
1. Knowledge of legal requirements under various laws
Corporate communications
Responsible for ensuring that organisation complies with standard financial and legal practice and maintains standards of corporate governance.
Provide legal advice and act as Point of communication between the board of directors and company shareholders, reporting in a timely and accurate manner on company procedures and developments
