Assistant Manager - Merger and Acquisitions

L&T India | Larsen & Toubro (larsentoubro.com) Key responsibilities: - Ability to run M&A/Divestment projects on his/her own (Collaborate across the company to help assess and prioritize M&A/Divestment transactions to best align with strategy and future objectives) - Experience in negotiating transaction documents (SPA, SSA, Binding Term Sheets, others) - Providing timely and objective financial/commercial analyses of prospective transactions (inclusive of structuring options for transactions and the review of potential strategic acquisitions options, disposals, and restructuring) - Participate in and lead all aspects of transaction execution including project management, due diligence, and valuation.
Work closely with business teams, internal functional experts (eg.
legal, accounting, tax, etc.), and outside advisors to support execution.
- Support/ facilitate diligence, as required.
Draw conclusions from data to make recommendations that contribute to the success of the transaction.
- Assist and support post-acquisition integration by ensuring that cross-functional teams are all executing on their respective M&A integration plans.
- Coordination with internal stakeholders (CEO, CFO, CXO s) - Take primary responsibility for development of financial projections for merger and acquisition opportunities.
Perform detailed financial analysis; develop comprehensive pro forma financial models, valuation analysis, and synergy models in support of potential transaction.
- Responsible for creating/review and delivering high quality presentation materials and reports to business unit leaders and senior corporate executive.
- Delivery with tight timelines and peak workloads - Management and training of juniors and reporting upwards.
- Ensure that presentations / financial models are robust and accurate.
- Making sure running projects are managed appropriately, with tasks delegated and reviewed where necessary.
