Job Description:

The Company Secretary is responsible for ensuring the organization complies with statutory and regulatory requirements while maintaining high standards of corporate governance. This role involves managing the company's legal and regulatory framework, supporting the board of directors, and facilitating effective communication between the board and stakeholders.

Key Responsibilities:
  1. Compliance Management:

    • Ensure adherence to all statutory and regulatory obligations, including filings with the Registrar of Companies.
    • Stay updated with changes in corporate laws, regulations, and governance practices.
  2. Corporate Governance:

    • Advise the board on governance best practices and compliance with legal frameworks.
    • Ensure that the board operates within the legal and ethical boundaries set by the organization.
  3. Board and General Meetings:

    • Organize and prepare agendas for board and committee meetings.
    • Record minutes, resolutions, and actions arising from meetings.
    • Coordinate annual general meetings and ensure compliance with applicable requirements.
  4. Legal Advisory:

    • Provide expert advice on corporate, commercial, and legal matters.
    • Draft and review contracts, agreements, and other legal documents.
  5. Stakeholder Communication:

    • Act as the primary point of contact between the company and regulatory bodies.
    • Facilitate transparent communication with shareholders and investors.
  6. Records Management:

    • Maintain statutory registers, records, and documents as per regulatory requirements.
    • Ensure timely filing of financial statements and other disclosures.
Qualifications and Skills:
  • Education:

    • Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
    • A degree in Law or Finance is a plus. .
  • Skills:

    • Strong knowledge of corporate laws, SEBI regulations, and Companies Act.
    • Excellent organizational and multitasking skills.
    • Strong communication and interpersonal skills.
  • Personal Attributes:

    • Detail-oriented and ethical with a high degree of professionalism.
    • Ability to work independently and handle confidential matters.
