Job Description: Company Secretary (CS)
Key Responsibilities:
Regulatory Compliance:
Ensure compliance with the Companies Act and Rules for all group companies, with a focus on RBI regulations for NBFCs.
Adhere to statutory and regulatory requirements in India, including SEBI, LODR, and RBI guidelines for NBFCs.
Meetings and Documentation:
Conduct Board Meetings, General Meetings, and Board Committee Meetings, ensuring closure of associated activities.
Draft board meeting papers, committee documentation, policies, and procedures.
Corporate Legal Compliance:
Oversee and manage corporate legal compliance, including drafting and reviewing agreements with stakeholders, joint ventures, and shareholder agreements (SHA).
Verify agreements prepared by Legal & Compliance outsourced vendors.
Policy Development:
Lead the creation of business processes and policies to mitigate risk, enhance efficiency, and improve business effectiveness.
Local Law Compliance:
Identify and ensure compliance with local laws and regulations.
Support audits for regulatory compliance.
Liaison and Risk Management:
Liaise with relevant authorities and departments to address identified legal risks and ensure appropriate actions are taken.
Team Leadership:
Manage and mentor a team to drive compliance and governance initiatives effectively.
Requirements:
Qualifications:
Company Secretary (CS) certification with 5+ years of relevant experience.
Preferred Background:
Experience in the Fintech or NBFC sector.
Strong exposure to SEBI, LODR, and RBI regulations.
Key Skills:
Proficiency in regulatory and signatory responsibilities of a CS.
Expertise in corporate governance, legal compliance, and policy drafting.
Proven ability to handle leadership roles and manage teams
