Group Head - Company Secretary & Governance
- Act as a trusted Advisor to the business on all aspects of the Secretarial & Compliance functions; Strengthen & further develop and implement the existing systems as an integral part of a high-performance, growth fuelled culture
- Convene and conduct Board, Committee & General Meetings and implement the decisions taken by the Board / Committee/ Members.
- Assist in reporting to the Board and liaison with Board of Directors, internal & external stakeholders
- Ensure compliance of various provisions of the Companies Act, 2013 and its Rules, Secretarial Standards issued by the Institute of Company Secretaries of India
- Ensure statutory compliances as per Company Law, SEBI Listing Regulations, SEBI Takeover Code, SEBI Insider Trading Regulations and other Corporate Laws.
- Ensure the Corporate Governance framework is implemented in the true spirit
- Advise on the company Business Conduct Guidelines, including providing answers to management and employee questions, such as regarding conflicts of interest
- Ensure proper control, review, feedback, analysis of various business proposals / deals including acquisitions, mergers, joint ventures involving the Company.
- Pro-actively initiate discussions around risk assessment and management in Board Meetings and further strengthen the risk assurance framework.
- Assess Compliance Risks and work with management to develop mitigation plans.
- Coordination with the Registrar of Companies, Registrar and Share Transfer Agents, Consultants, Legal Counsel and various regulatory and statutory bodies.
- Co - ordinate with statutory / internal auditors pertaining to the Audit Committee Meetings, Quarterly Financial Results (QFR), Balance Sheet Finalization and other works.
Requirements:
The ideal candidate would be someone with overall 20+ years of experience with reputed organizations in the broader industrial manufacturing sector. S/he should bring 8+ years of experience driving the Secretarial and Compliance functions in the capacity of senior leadership roles (with a consistent track record). S/he should have exposure to the workings of listed organizations and worked with the Promoter driven business are preferred.
