Job Description for Qualified /Company Secretary (CS):
- Incorporation of Company/ LLP as per the provisions of the Companies Act 2013 and the rules made there under
- Documentation for Shifting of registered office within State and from one state to another
- Maintenance of statutory books, including registers of members, directors, and secretaries.
- Maintenance and drafting of share certificates and share transfer deeds.
- Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
- Liaise with external regulators and advisers such as lawyers and auditors.
- Implementation of processes or systems to ensure good management of the organization.
- Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
- Drafting of agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.
- Detailed knowledge and experience in Annual Filing of Companies, Appointment/Resignation of Directors and Auditors.
- Post Incorporation Compliances of a company
- Other secretarial work under the Companies Act, 2013.
