Job Purpose:
This position exists to serve as a strong in house Legal Partner and adviser to CEO and Leadership team on a
wide array of matters. By collaborating with cross-functional stakeholders and external law firms, facilitating
effective decision-making, and aligning business operations with legal and regulatory frameworks, the role
holder ensures robust corporate governance and legal compliance. The role aims to safeguard the
organizations integrity by mitigating legal risks with sound advice, guidance and judgement.
Key Duties / Accountabilities:
Strategic Legal Advisory:
• Act as a trusted legal advisor to the CEO and Leadership Team on diverse corporate matters.
• Provide proactive and strategic legal advice to support business objectives and decision-making.
• Identify and address potential legal risks associated with business operations and strategies.
Corporate Governance:
• Ensure adherence to robust corporate governance standards and practices.
• Draft, review, and manage corporate policies, bylaws, and charters in compliance with regulatory
requirements.
• Oversee board meetings, resolutions, and corporate filings to ensure compliance with legal
obligations.
Compliance and Risk Management:
• Develop and maintain processes to ensure compliance with local and international laws, including
labor, environmental, data protection, and healthcare regulations (if applicable).
• Monitor changes in legal and regulatory landscapes and advise stakeholders on implications for the
business.
• Establish frameworks for managing legal risks, including internal training on compliance and ethics.
Contract and Agreement Management:
• Draft, review, and negotiate contracts, agreements, and MOUs to safeguard organizational interests.
• Ensure clarity, legality, and enforceability of all contracts entered by the organization.
Dispute Resolution and Litigation Management:
• Manage and resolve disputes, minimizing litigation exposure by exploring alternative dispute
resolution methods.
• Liaise with external law firms for effective handling of litigation and arbitration proceedings.
• Represent the organization in negotiations and legal proceedings where required.
Collaboration with Stakeholders:
• Work closely with internal departments to align business strategies with legal frameworks.
• Partner with HR, finance, and operations to manage employment law, taxation, and regulatory issues.
• Engage with external legal counsel for specialized legal support.
Policy and Procedure Development:
• Develop and update internal policies to ensure compliance with evolving legal requirements.
• Train employees on legal and compliance matters, fostering a culture of transparency and
accountability.
Mergers, Acquisitions, and Corporate Transactions:
• Provide legal guidance during mergers, acquisitions, and corporate restructuring initiatives.
• Conduct due diligence and oversee post-merger integration from a legal perspective.
Key Interfaces / Relationships
• Internal- Leadership and Management Teams, Cross-Functional Teams, Directors and
Committees, Compliance and Risk Management Teams.
• External- Regulatory Authorities, External Legal Counsel and Law Firms, Auditors and
Consultants, Industry Bodies and Associations.
Qualifications and Skills:
• Bachelors degree in Law (LLB) or equivalent.
• 10–15 years of experience in corporate legal advisory roles, preferably in large or multinational
organizations.
• In-depth knowledge of corporate law, contract law, compliance regulations, and governance
standards.
• Proven experience in managing legal risks and providing strategic counsel to senior leadership.
• Ability to handle complex legal challenges with sound judgment and discretion.
• High ethical standards and a commitment to organizational integrity.
• Strategic thinking with the ability to translate legal advice into actionable business strategies.
• Exceptional negotiation, analytical, and problem-solving skills.
• Strong stakeholder management and interpersonal skills.
