- The Company Secretary will be responsible for ensuring the organization's compliance with all statutory and regulatory requirements, particularly those related to the Companies Act, SEBI regulations, and RBI guidelines.
- This role involves managing corporate governance, maintaining statutory records, handling regulatory filings, and providing expert advice to the Board of Directors.
- The ideal candidate will possess a strong understanding of corporate law, financial modeling, and valuation, coupled with excellent communication and organizational skills.
- Regulatory Compliance (ROC & SEBI):
- Ensure timely and accurate filing of all statutory returns and forms with the Registrar of Companies (ROC) and SEBI.
- Monitor and implement changes in relevant legislation and regulations.
- Manage compliance related to listing obligations and disclosure requirements for BSE listed company.
- Handle all SEBI compliance, including insider trading regulations, listing agreements, and corporate governance norms.
- RBI Compliance: Ensure compliance with all applicable RBI regulations, particularly concerning foreign exchangeztransactions, share issuance, and transfers.
- Maintain accurate records and documentation related to RBI compliance.
- Intimate RBI regarding various share related activities.
- Corporate Governance: Advise the Board of Directors on corporate governance best practices.
- Organize and manage Board and Committee meetings, including preparation of agendas, minutes, and supporting documentation.
- Conduct training sessions for Directors on corporate governance principles and regulatory updates.
- Maintain and update the company's corporate governance framework.
- Take annual disclosures from the Directors.
- Statutory Records and Registers: Maintain and update all statutory registers and records, including registers of members, directors, charges, and contracts.
- Ensure the safekeeping and proper maintenance of all company records.
