Title: Company Secretary
Key Responsibilities:
Regulatory Compliance: Ensure compliance with the Companies Act, SEBI regulations, FEMA guidelines, RBI regulations, and other relevant laws and regulations.
Corporate Governance: Develop and implement corporate governance policies and procedures.
Board Meetings & Shareholder Meetings: Manage all aspects of Board meetings (including preparation of agenda, minutes, and resolutions), Annual General Meetings (AGM), and Extraordinary General Meetings (EGM).
Statutory Records: Maintain and update all statutory registers and records as required by law.
Filings & Disclosures: Handle all regulatory filings and disclosures with relevant authorities (SEBI, MCA, ROC, RBI, Stock Exchanges).
Stakeholder Communication: Manage communication with shareholders, investors, and other stakeholders.
Liaison with Authorities: Act as the primary point of contact for liaising with regulatory bodies such as SEBI, MCA, ROC, RBI, and stock exchanges.
Risk Management: Support the development and implementation of risk management frameworks.
ESG Compliance: Contribute to the organization's Environmental, Social, and Governance (ESG) initiatives and ensure compliance with related regulations.
Requirements:
- Associate/Fellow Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India (ICSI).
- LLB/MBA is preferred.
- 2-10 years of experience in corporate compliance, preferably in a listed MNC.
- Strong knowledge of corporate law, SEBI regulations, listing norms, and other applicable regulations.
- Excellent communication (written and verbal), drafting, and stakeholder management skills.
- Ability to work independently and manage multiple tasks.
- Strong attention to detail and organizational skills.
