Manager - Company Secretary
We are hiring for Manager- Company Secretary role for a leading company and please find the roles and responsibilities below.
Roles & Responsibilities:
- Understanding of various and critical provisions of Companies Act, 2013, SEBI LODR Regulations, SEBI PIT Regulations, SEBI SAST Regulations Secretarial Standards and ancillary laws applicable to the company.
- Drafting and circulating meeting agenda, notice, minutes, resolutions for all meetings of Board, Committees and Shareholders and physically convening the Board and Committee meetings.
- Convening shareholder meetings, taking minutes, drafting resolutions, and lodging required forms and annual returns with appropriate departments.
- Ensure that secretarial audit, internal audit and statutory audit is conducted as per prescribed timelines.
- Preparing MIS and/or any other necessary data as required by Statutory Auditor, Internal Auditor or company.
- Maintaining statutory books, including registers of members, directors, and secretaries.
- Preparing and submission of various E-forms for intimation/ approval to ROC/ Central Government on timely manner.
- Collating for statutory compliances of all the manufacturing units of the company.
