  • Formation of Entities :
  • Formation of Private Limited Companies
  • Formation of Partnership Firms
  • Formation of LLP
  • Formation of Public Company
  • Compliance :
  • Annual Compliance of LLPs (Form 8, Form 11)
  • Annual Compliance of Private Limited Companies
  • (Form DPT-3, Form AOC-4, Form MGT-7, Form ADT-1, Preparation of Directors Report)
  • Change of Address of Private Limited Companies and LLPs
  • Change in Constitution of LLPs
  • Handling NCD related transactions in Companies in various tranches
(Preparation of IM, Form PAS-5, List of allotees, Form PAS-3)
  • Filing forms related to NCD transaction
  • Handling compliance related to split and transfer of shares Physical and Demat
  • Providing Resolutions on request of various departments
  • Opening of Demat Account and Getting ISINs for Companies
  • Creation of Share Pledged and release of pledge on shares in various transaction of NCD
  • Creation of charge upon loan availed
  • Handling Due Diligence of Companies
  • Preparation of agreements related to creation of Partnership firms
  • Resolving issues arising during Compliances at ROC online and off-line
  • Making DSC of all Directors
  • Preparation of Minutes yearly for Companies
  • Handling Compliance related to change in Directors
  • Prepared Group structure with different criteria"
  • Maintaining Secretarial Records as per Statutory requirement
  • Completing all the compliances as per Statute
  • Monitoring :
  • Non violation of Sections of Companies and LLPs
  • Timelines for filing of various forms"
  • Co-ordination :
  • Co-ordinating with various JV partners for Annual Compliance
  • Co-ordinating with Auditors related to audit of Companies
  • Co-ordination with NSDL and CDSL for availing ISINs
  • Co-ordinating with various RTAs for ISIN, Benpos, Corporate Actions
  • Co-ordinating with different departments for Compliance
  • Provided Clarification in case of Opening of Bank accounts"
  • Advisory Services :
  • Providing secretarial Advice to the management as and when required
  • Providing suggestions during reconstitution
  • Preparing the Secretarial MIS for the management
Qualifications and skills
  • Qualified CS 01 05 yrs. of total work experience as CS
  • Experience of Issue of IPO would be an added advantage
  • Candidate should be smart and articulate with good communication and presentation skill and must be ready to initiate everything through scratch.
