Corporate Lawyer

Role & responsibilities

The Corporate Lawyer will be placed in our Dubai, UAE office and responsible for providing comprehensive legal support on corporate, commercial, and regulatory matters, with a strong focus on India Tax compliances, and dispute resolution. This role involves drafting and negotiating contracts, ensuring regulatory compliance, handling tax litigation, and advising on corporate legal strategies to safeguard the organizations interests.

Corporate Legal Advisory:

• Provide legal counsel on corporate matters, including mergers and acquisitions, joint ventures, corporate restructuring, and governance.
• Draft, review, and negotiate a wide range of commercial agreements, such as vendor contracts, shareholder agreements, and service-level agreements.
• Advise the management team on legal risks and mitigation strategies related to business operations.

GST & Taxation Matters:

• Advise on GST compliance, including input tax credits, tax structuring, and reporting requirements.
• Handle GST-related disputes, litigation, and appeals before tax authorities, tribunals, or courts.
• Stay updated on GST laws, amendments, and notifications, and provide training to internal stakeholders.

Compliance Management:

• Ensure the organization complies with all applicable laws and regulations, including corporate, labor, tax, and environmental laws.
• Develop and maintain compliance frameworks and policies for various business functions.
• Liaise with regulatory authorities to manage inspections, audits, and filings.

Dispute Resolution & Litigation:

• Represent the organization in corporate, tax, and commercial disputes.
• Manage external legal counsel for complex litigation or arbitration cases.
• Develop strategies to resolve disputes efficiently, minimizing legal and financial risks.

Risk Management:

• Identify potential legal risks in contracts, operations, and business transactions, and recommend appropriate safeguards.
• Conduct due diligence for mergers, acquisitions, and other corporate transactions.
• Provide legal support during internal and external audits.

Team Collaboration:

• Work closely with internal departments, including finance, HR, and operations, to align legal strategies with business goals.
• Provide legal training and guidance to junior team members and other stakeholders.

Preferred candidate profile

• Bachelors degree in Law (LLB) from a reputed university; Masters degree in Law (LLM) is preferred.
• 12–15 years of experience in corporate legal advisory, with significant exposure to GST compliance and litigation.
• Able to relocate to Dubai, UAE.
• Membership in the Bar Council of India.
• Proven track record in handling corporate legal matters and tax disputes.
• In-depth knowledge of corporate law, GST laws, and tax regulations in India.
• Ability to analyze complex legal issues and provide actionable solutions.
• Strong skills in negotiating contracts and settlements.
• Excellent verbal and written communication skills to interact with stakeholders and present legal positions effectively.
• Precision in drafting legal documents and handling compliance matters.
