Job Description

As a Company Secretary, you will manage corporate governance and compliance, including organizing meetings, ensuring adherence to laws and regulations, and handling company formation and restructuring. You will also oversee legal due diligence, regulatory compliance, and liaison with clients while maintaining accurate statutory records and documents. Strong drafting, problem-solving, and analytical skills are essential for success in this role.

Key Responsibilities

Assist with Corporate Law and Secretarial practices, including organizing meetings, drafting agendas, preparing board resolutions, and conducting meetings;
Ensuring the companys and LLP s compliance with applicable laws, regulations in timely manner including timely filing of forms with the ROC, including annual, half-yearly, quarterly, and event-based e-forms with the MCA.
Manage the formation of companies, foreign subsidiaries, joint ventures, IFSC companies, LLPs, OCPs, Branch office and handle the conversion of LLPs, firms, and companies.
Handling assignments of IPOs, mergers, amalgamations, right issue, buyback assignments.
Liaise with clients, including foreign clients, to address queries and provide a clear understanding of relevant laws and their implications, including amendments to applicable regulations.
Ensure FEMA compliance, including FCGPR, FC TRS, ODI, FLA Return, and other related filings.
Handling legal due diligence and documentation for fundraising activities, including drafting term sheets, shareholder agreements, and other related documents.
Handling corporate actions/ ad hoc events like change in management, change in capital structure, private placement of securities, buyback, right issue, change in name, change in main objects, compounding work, etc.
