Key Responsibilities:
- Corporate Drafting: Draft, review, and amend a wide range of corporate legal documents including but not limited to contracts, agreements (NDA, MOU, Shareholders' Agreements, Joint Venture Agreements), corporate policies, board resolutions, and more.
- Legal Research: Conduct thorough legal research on various topics including corporate law, compliance, mergers and acquisitions, and intellectual property.
- Document Review: Assist in the review of contracts and legal agreements to ensure compliance with applicable laws, accuracy, and risk mitigation.
- Client Interaction: Liaise with clients and external parties to understand their legal requirements and provide appropriate legal advice under supervision.
- Compliance: Assist the legal team in ensuring that the company's operations comply with all applicable legal regulations, including corporate governance, securities laws, and other relevant statutes.
- Communication: Collaborate effectively with senior legal counsel, business teams, and clients, providing clear and concise legal communication. Ensure timely updates and feedback are provided.
- Administrative Tasks: Handle document management, filing, and maintenance of records in a structured and organized manner.
- Team Support: Provide assistance to senior lawyers in larger corporate transactions, due diligence, and negotiations as required.
Qualifications:
- Education: Bachelor's degree in Law (LLB) from an accredited university. A Master's degree (LLM) or further certifications in corporate law is a plus.
- Experience: 1-2 years of experience in corporate law, preferably in a law firm or legal department with exposure to corporate drafting.
Skills:
- Excellent verbal and written communication skills to explain legal matters clearly to clients and colleagues.
- Proficient in legal drafting with a strong understanding of corporate law principles.
- Strong attention to detail and the ability to work under tight deadlines.
- Knowledge of corporate transactions, business structures, and legal compliance.
- Strong research skills and analytical thinking.
- Technical Skills: Proficiency in Microsoft Office (Word, Excel, PowerPoint). Familiarity with legal research tools and contract management software is an advantage.
