Job Description
We are seeking a highly skilled and detail-oriented Contract Manager to join our dynamic team at Tonbo Imaging. The Contract Manager will oversee the entire contract lifecycle, from drafting and negotiation to execution and management, ensuring compliance with legal requirements and corporate policies. This role is essential in supporting our mission to deliver excellence through effective contract management and risk mitigation.
Key Responsibilities:
- Contract Drafting and Review:
- Draft, review, and negotiate contracts, including service agreements, NDAs, purchase agreements, partnership agreements, and licensing agreements.
- Ensure all contracts comply with legal requirements, company policies, and industry standards.
- Identify and mitigate potential legal risks in contract terms and conditions.
- Contract Management:
- Maintain and update the contract management system with all relevant contract information.
- Monitor contract performance and compliance, ensuring all parties fulfill their contractual obligations.
- Manage contract renewals, amendments, and terminations.
- Legal Compliance and Risk Management:
- Identify potential legal risks in contracts and develop mitigation strategies.
- Ensure proper documentation and approval processes are followed.
- Conduct regular audits of contract terms and conditions to ensure compliance.
- Stay updated on relevant laws and regulations that could impact contracts and company operations.
- Communication and Collaboration:
- Liaise with internal stakeholders, including legal, finance, procurement, and project management teams, to gather necessary information and approvals.
- Serve as the primary point of contact for external parties regarding contractual and legal matters.
- Facilitate clear and effective communication regarding contract status, changes, and requirements.
- Reporting and Analysis:
- Prepare regular reports on contract status, performance metrics, and compliance issues.
- Analyze contract data to identify trends and areas for improvement.
- Provide insights and recommendations to senior management on contract-related and legal issues.
Qualifications:
- Bachelor s degree in Law (LLB) or related field. A Master s degree (LLM) or JD is preferred.
- 3+ years of experience in contract management, legal, or related roles.
- Strong understanding of contract law, corporate governance, and industry regulations.
- Excellent negotiation, drafting, and analytical skills.
- Proficient in contract management software and Microsoft Office Suite.
- Exceptional attention to detail and organizational skills.
- Ability to manage multiple priorities and work under pressure.
- Strong communication and interpersonal skills.
Preferred Qualifications:
- Certification in Contract Management (e.g., CPCM, CFCM, or equivalent).
- Experience in the technology, defense, or electronics industry.
- Familiarity with international contract laws and practices.
- Experience with government contracts and regulatory compliance.
Working Conditions:
- This position may require occasional travel.
