Role :
This role is responsible for managing all legal matters of TIL and its group companies, ensuring that the organization operates within the law at all times. This role involves handling legal cases, managing legal documents, drafting agreements, and legal communications, filing complaints, forming intern committees, framing SOPs related to applicable laws, and ensuring compliance with all applicable laws and regulations. This role will provide legal advice to the company's management, anticipate legal risks, and work towards resolving matters amicably when possible.
Objective :
To efficiently manage and oversee all legal cases, ensuring swift and favorable outcomes for the company.
To draft, review, and manage all legal documents, agreements, and contracts, ensuring that the companys interests are protected.
To ensure compliance with all applicable laws and regulations, drafting internal policies as necessary to align with legal requirements as and when required.
Roles & Responsibilities:
Ensure that Transcorp and its group companies comply with all applicable laws, regulations, and statutory requirements.
Draft and implement internal policies and procedures related to legal and regulatory aspects, ensuring alignment with current legal standards.
Regularly review and update the companys compliance framework to address new legal developments and risks.
Vet/drafts of petitions, suits, complaints, and applications before they are filed in court/tribunal/departments/authorities, ensuring accuracy and alignment with the companys legal strategy.
Draft and manage all formal letters, communications, and legal documents to be issued by the company, ensuring they are legally sound and strategically advantageous.
Build and maintain strong relationships with external legal counsels, ensuring effective collaboration on legal cases and issues.
Regularly discuss and review the course of action with external counsels to ensure that legal proceedings are handled efficiently and in the companys best interest.
Conduct legal research to support the company’s positions in disputes and to provide sound legal advice on various matters.
Stay updated with the latest legal developments and trends, ensuring that the company’s legal strategies are informed by current knowledge and best practices.
Manage and handle all ongoing legal cases for TIL and its group companies across various forums, including courts, tribunals, arbitration, and alternative dispute resolution.
Engage and collaborate with external legal counsels to strategize and implement the most effective course of action for each case.
Attempt to resolve disputes amicably when possible, minimizing litigation risks and costs.
Ensure the execution of court orders and legal directives in a timely and efficient manner.
Oversee the drafting, vetting, and management of all business agreements, deeds, memorandums of understanding (MOUs), rent agreements, and other legal deeds and documents.
Evaluate, negotiate, and finalize agreements, ensuring that all legal documentation aligns with the company’s strategic interests.
Maintain an organized system for managing all legal documents, deeds, and orders, ensuring easy retrieval and compliance with regulatory requirements.
Provide legal advice on various business and commercial deals, offering guidance based on thorough research and analysis of the existing legal framework.
Anticipate potential legal risks in the company’s business plans and strategies, offering proactive solutions to mitigate those risks.
Advise the company on legal positions in ongoing and upcoming transactions, ensuring that decisions are legally sound and protect the company’s interests.
Draft and serve legal notices on behalf of the company, ensuring that all legal communications are accurate and professionally handled.
Manage the response process for notices, letters, and communications received by the company, ensuring timely and effective replies.
Maintain a comprehensive record of all legal communications, ensuring a clear chain of correspondence for future reference.
Stay abreast of laws, regulations, and legal developments that are relevant to the company and its subsidiaries/group entities. Continuously monitor and research changes in applicable laws, including industry-specific regulations and compliance requirements. Stay informed about legal precedents and emerging legal trends that may impact the organization.
Review legal publications, attend relevant seminars or webinars, and participate in professional development opportunities to enhance legal knowledge and understanding.
Experience Required:
Overall: Minimum 7+ years of experience in the legal domain.
Litigation: At least 3+ years of hands-on experience in litigation is mandatory.
Projects: Proven ability to handle versatile legal projects.
Skills and Knowledge:
Comprehensive understanding of multiple laws, including civil, criminal, cyber, IT, and more.
Strong expertise in legal risk management and compliance.
Exceptional skills in analytical thinking, negotiation, and legal drafting.
