Job Description:
The Company Secretary will be responsible for ensuring the organization complies with all legal, regulatory, and corporate governance standards.
The role involves advising the board of directors, maintaining statutory records, and supporting corporate governance and compliance processes to uphold the integrity and transparency of the company's operations.
Key Responsibilities:
Corporate Governance:
- Advise the Board of Directors on governance matters and best practices.
- Ensure adherence to statutory and regulatory requirements.
- Maintain and manage the company's shareholding structure and related records.
- Serve as a liaison between the board, shareholders, and regulatory bodies.
Legal Compliance:
- Ensure compliance with the Companies Act and other applicable laws and regulations.
- Prepare and file statutory returns and other regulatory documents.
- Monitor legislative and regulatory changes, ensuring timely compliance.
- Manage legal documentation, including contracts, agreements, and board resolutions.
Board Support:
- Organize and facilitate board meetings, AGMs, and EGMs.
- Prepare and distribute agendas, meeting minutes, and resolutions.
- Provide legal, regulatory, and governance advice to the board.
- Maintain accurate and secure records of board decisions and corporate documentation.
Shareholder Relations:
- Manage communications and relationships with shareholders.
- Coordinate shareholder meetings, voting processes, and elections.
- Oversee dividend distribution and financial reporting.
- Ensure transparency and compliance in shareholder communications.
Risk Management:
- Assist the board in identifying and managing risks.
- Develop and implement internal controls for legal and financial compliance.
- Maintain and update the company's risk management framework.
Regulatory Reporting:
- Prepare, file, and maintain accurate legal and regulatory records.
- Ensure timely and accurate filings with regulatory authorities.
Advisory:
- Provide legal and regulatory advice to senior management on corporate matters.
- Review and approve corporate contracts, agreements, and policies.
- Represent the company in legal dealings with external authorities.
Corporate Social Responsibility (CSR):
- Support the company's CSR initiatives by ensuring adherence to regulatory and legal standards.
Key Requirements:
Education:
- Qualified Company Secretary (CS) is mandatory.
- A Law degree or equivalent qualifications is preferred.
Experience:
- Minimum of 6 years in a Company Secretary or similar role.
Skills:
- Strong knowledge of corporate governance, legal frameworks, and regulatory compliance.
- Excellent organizational, communication, and advisory skills.
- Ability to work independently and handle sensitive information with confidentiality.
- Detail-oriented with strong problem-solving capabilities.
- Proficiency in corporate governance software and Microsoft Office Suite.
