- Assist in preparing the company for the IPO process, including corporate restructuring, compliance reviews, and governance improvements.
- Coordinate with legal, financial, and investment advisory teams to compile and review IPO documentation such as the Draft Red Herring Prospectus (DRHP) and Red Herring Prospectus (RHP).
- Ensure all pre-IPO compliance requirements are met, including board approvals, shareholder resolutions, and filing with regulatory authorities.
Regulatory Compliance:
- Liaise with the Securities and Exchange Board of India (SEBI), Stock Exchanges, and other regulatory bodies to ensure timely submissions and approvals.
- Ensure compliance with the Companies Act, SEBI regulations, and listing agreements during the IPO process.
- Maintain statutory registers and records in line with applicable laws.
Corporate Governance:
- Advise the Board of Directors on corporate governance standards, ensuring alignment with SEBI Listing Obligations and Disclosure Requirements (LODR).
- Facilitate board and committee meetings, including agenda preparation, minutes recording, and follow-ups on action points.
- Oversee compliance with post-IPO governance requirements, such as independent director appointments and mandatory disclosures.
Stakeholder Management:
- Act as the key point of contact between the company, investors, stock exchanges, and regulatory authorities.
- Provide timely and accurate information to stakeholders, including disclosures, press releases, and investor presentations.
- Coordinate roadshows, investor meetings, and other IPO marketing activities.
Documentation and Filing:
- Oversee the preparation and filing of key IPO documents, including offer letters, consent forms, agreements, and disclosures.
- Ensure accuracy and timeliness in the submission of forms to the Registrar of Companies (RoC) and other statutory bodies.
Post-IPO Activities:
- Ensure a smooth transition to a listed company, including meeting all listing compliance requirements.
- Monitor compliance with continuous disclosure obligations under SEBI and stock exchange regulations.
- Maintain relationships with external advisors, rating agencies, and auditors post-listing.
Qualifications and Skills:
- Membership with the Institute of Company Secretaries of India (ICSI) is mandatory.
- In-depth knowledge of SEBI guidelines, the Companies Act, and stock exchange listing requirements.
- Proven experience in handling IPO processes and public offerings.
- Strong understanding of corporate governance and compliance frameworks.
- Excellent communication, analytical, and organizational skills.
- Ability to work collaboratively with cross-functional teams and manage multiple stakeholders.
Preferred Experience:
- 0-4 years of experience in a company secretary role, preferably with exposure to IPO-related activities or in a listed company.
- Experience in coordinating with regulatory bodies such as SEBI, RoC, and stock exchanges.
