SECTION 2 â JOB SUMMARYï¬ The Company Secretary (CS) will be responsible for ensuring the company's compliance with statutory and regulatory requirements, maintaining corporate governance standards, and supporting the Board of Directors in legal and administrative matters.
ï¬ Agreed to Work closely with the cross-functional teams in order to effectively deliver new, fit for use accounting solutions to the business.
SECTION 3 â KEY ACCOUNTIBILITIES, RESPONSIBILITIES AND DELIVERABLES ï¬ Convening and servicing annual general meetings (AGMs)/meetings (producing agenda, taking minute, conveying decision, handling meeting correspondence and so on).
ï¬ Maintaining statutory books, including registers of members, directors and secretaries;
ï¬ Keeping up to date with any regulatory or statutory changes and policies that might affect the organization.
ï¬ Liaising with external regulators for ROC, Legal metrology compliances and advisers, such as lawyers and auditors.
ï¬ Analysis of the company's financial results to management and recommend improvement activities.
ï¬ Manage the preparation of the company's budget and report to management on variances from the established budget, and the reasons for those variances.
ï¬ Assist in development of financial concepts and policies and audit related work.
ï¬ Monitor and ensure compliance with SEBI (LODR), FEMA, RBI guidelines, Legal metrology and other statutory bodies.
ï¬ Draft, review, and maintain key company documents, contracts, and agreements.
ï¬ Ensure timely dissemination of financial and non-financial disclosures as per listing norms.
ï¬ Liaise with external regulatory authorities such as SEBI, RBI, Stock Exchanges, and Tax Departments.
ï¬ Ensure proper record-keeping of resolutions, shareholding structure, and legal documents.
ï¬ Having knowledge & experience in handling CSR activities of the company.
