Legal Counsel Role (12-21 yrs)

Legal Counsel Role in Bangalore - Diversity only

You are responsible for the company's legal activities in a region, business units and /or sub-function areas in the country or across multiple countries. To support commercial and corporate initiatives, you identify business needs and design and implement our legal strategy through the service delivery model. You advise the business on risk, anticipating and addressing internal and external factors and apply your legal specialty area experience to collaborate with other legal colleagues to address legal issues or concerns.

Major KRA will include:

- Responsible for delivery of commercial legal services to business clients in APAC (India), liaising cross-regionally and cross-functionally to manage the commercial legal affairs of, and provide strategic and commercial legal advice to, business clients in areas including the following:

- Negotiate, prepare, revise and terminate commercial contracts including, but not limited to, sales and rebate contracts, distributor and agency contracts, and toll manufacturing contracts

- Provide antitrust legal counsel on business matters including, but not limited to, pricing announcements, trade association activity and other potential forums for competitor interaction, distribution network management, product lead times and analysis of proposed deals

- Facilitate settlement of customer pre-suit litigation claims; manage matters in IP and other litigation

- Provide legal counsel on product issues, business models and strategies in areas including, but not limited to, product supply/shortages, new product development, product discontinuation, advertising, business risk review, route-to-market, and marketing and sales strategies

- Key participant on business clients' M&A deal teams, provide legal counsel in connection with the establishment and management of joint ventures and other commercial relationships

- Provide legal counsel on matters relating to debtor/creditor rights; facilitate resolution of collection and bankruptcy matters

- Provide front-line counsel for business clients on the Solenis Global Standards of Business Conduct and compliance questions and issues relating to, for example, the Foreign Corrupt Practices Act; provide proactive compliance training

- Manage front-line legal inquiries of employment and benefits, intellectual property and environmental/health/safety issues; liaise with, and solicit advice from, specialists in those functional areas to address legal inquiries

- Provide advice regarding government authority matters

- Provide corporate governance support; officer and/or directorships

- Retain outside counsel; manage outside counsel's delivery of legal services (substantive content and cost oversight)

- Coordinate IP legal related matters

Education:

- Law degree from recognized Law University

- Overseas studying experience is preferred.

- Admitted as qualified lawyer in India

Experience:

- Seven or more years' working experience of a reputable law firm and/or as an in-house counsel of multinational company, preferably both

- Overseas working experience is a plus

Competency:

- Ability to handle all legal matters (contract law, corporate law, and litigation) in India independently

- Demonstrated experience advising executive leadership team members

- Demonstrated ability to explain complex legal concepts in a simple and concise way furthering Company's business/strategic objectives

- Excellent interpersonal skills and the ability to work collaboratively and influence change across businesses, functions, geographies and levels with a global and customer-focused mindset

- Initiative and creativity in seeking proper risk mitigation solutions to problems, rather than simply stop business development

- High summarization and good reporting ability

- Highly developed critical thinking, analytical and problem-solving skills

- Ability to work independently and collaboratively as part of a diverse team

- Excellent command of both spoken and written English
