Job Summary:
We are seeking a skilled and proactive Compliance Officer / Company Secretary to join our pioneering deep-tech startup. This role is critical in ensuring seamless legal and regulatory compliance, effective contract management, and strategic secretarial support as we drive innovation in the electric vehicle (EV) and battery technology sectors. The ideal candidate will bring expertise in corporate governance, legal advisory, and compliance, coupled with a passion for advancing mobility technologies.
Roles and Responsibilities:
Ensure adherence to all statutory requirements under the Companies Act, including preparing and maintaining statutory registers, minutes, and resolutions.
Handle all filings and checks with the Ministry of Corporate Affairs (MCA), ensuring compliance with evolving legal frameworks in the automotive and technology sectors.
Provide legal and compliance support for mergers, acquisitions, and strategic partnerships, ensuring due diligence and risk mitigation.
Draft, review, and negotiate contracts such as NDAs, supplier agreements, and international client contracts to safeguard the company s interests.
Collaborate with legal counsel to address litigation, intellectual property management, and compliance with global automotive and technology regulations.
Develop and implement efficient compliance and governance processes tailored to the needs of the EV and battery technology industry.
Act as the key liaison between the company, government agencies, external lawyers, and regulatory authorities.
Provide legal and compliance support for mergers, acquisitions, and strategic partnerships, ensuring due diligence and risk mitigation.
Conduct periodic audits to monitor adherence to ethical standards, company policies, and industry regulations.
Stay updated on regulations and emerging trends in the EV and battery technology sector, advising leadership on strategic legal and compliance adjustments.
Qualifications & Skills Required
Strong expertise in corporate secretarial functions and regulatory compliance, especially under the Companies Act.
Proven experience in contract drafting, negotiation, and lifecycle management.
Proficiency in managing interactions with global clients, lawyers, and government authorities.
Solid understanding of legal frameworks and compliance standards in the EV, automotive, and technology industries.
Knowledge of M&A activities, due diligence, and corporate governance in a fast-paced, tech-driven environment.
Exceptional organizational, communication, and negotiation skills.
