- Assist SVP, General Counsel in advising and representing businesses on legal matters related to the merger, acquisition, and divestiture of companies and assets.
- Coordinate directly with RSP Support Team and both sales and client executives to gather data and manage the full lifecycle of commercial contracts (with suppliers/vendors, partners and customers) from beginning to end, including drafting, negotiating, and distributing.
- Assist Associate General Counsel in developing new and non-standard service agreements, manage multiple agreement iterations, and make final language determinations for non-standard agreements. Collaborate with business development to develop contracts that meet client needs while maintaining integrity of ReSource Pro s interests.
- Review and draft revisions to contract documents provided by ReSource Pro customers.
- Identify and assess potential legal risks associated with all assignments and projects with which the Assistant General Counsel is involved. Provide recommendations on risk mitigation. Escalate risk-related issues to the Associate General Counsel and/or SVP, General Counsel as appropriate.
- Stay abreast of relevant laws and regulations.
- Perform legal research as assigned by Associate General Counsel or SVP, General Counsel.
What You Need to Be Successful
- JD from an accredited law school and membership in good standing of any United States state bar
- 4-6 years of experience in law (firm, corporate, or both)
- Knowledge and understanding of corporate law and procedures
- Ability to understand and draft contractual laws related to delivery of services and products
- Apply regulatory and legal knowledge in recommending trade-offs to help the decision-making process.
