Position Summary:
Candidate with 10-12 years experience in M&A, Contracts Management, IPR Management, Litigation Management.
Objective of this Role include:
- Provide support for all aspects of M&A activity, including structuring, due diligence, documentation and closing.
- Assist in legal due diligence on target companies.
- Working on FEMA and securities laws aspects of M&A activity.
- Engaging with other in-house departments including tax, finance and accounting, secretarial, HR, legal and IT.
- M&A to assist the corporate development team with respect to developing and executing integration plans for acquired businesses.
- Engaging with and reviewing the work of external M&A counsels.
- Providing advice on a diverse range of matters related to Corporate Development and the M&A activities of the Company.
- Contract Management, IPR Management & litigation Management.
Key Deliverables:
1. Drafting and vetting of transaction documents (term sheets, investment agreements, share subscription & shareholders agreements, closing related documents etc.), commercial agreements.
2. Litigation Management.
3. IPR Management.
4. Compliance with secretarial and regulatory requirements.
Risk Management & Legal Technology Literacy.
Position Responsibility :
1. Drafting, reviewing, and negotiating various commercial contracts and agreements.
2. Managing and mitigating legal risks by designing and implementing company policies and procedures
3. Ensuring compliance with all laws and regulations that apply to the business.
4. Promoting legal, compliance and risk management best practice throughout the company.
5. Communicating with and managing any third-party bodies such as external counsel or auditors.
6. Designing and delivering legal training to the business.
7. Staying up-to-date with changes to legislation, particularly in relation to laws, rules and regulations that directly affect your business and specific industry.
8. Providing accurate, relevant, and timely advice to different business verticals on variety of legal topics that relate to various business sector of the Company.
Desired Profile :
1. LLB from a reputed law college.
2. The candidate should have at least 10-12 years of experience (specialized in M&A)
3. Advised and assisted in domestic as well as multi-national M&A transactions.
4. Should have work experience in M&A transactions either end-to-end processes or advised/assisted in the same
5. Conducted legal due diligence on the target companies/vendor due diligences representing the companies
Worked on transaction structuring; drafting, and vetting of transaction documents (term sheets, investment agreements, share subscription & shareholders agreements, closing related documents etc.)
