Job Title: Company Secretary & Compliance Officer
Experience: 10 years
Location: Vikhroli (West), Mumbai; Would also involve traveling to Chennai for Board Meetings and other business related matters on a need-come basis.
Department: Secretarial.
Roles and Responsibilities:
1. SEBI Listing Compliances:
- Ensure timely and accurate compliance with SEBI regulations, including periodic filing of disclosures, shareholding pattern, corporate governance report and other quarterly / event based compliances.
- Monitor and ensure compliance with the listing agreements and reporting requirements for listed entities.
- Oversee compliance with SEBI's Insider Trading Regulations and ensure timely filing of related disclosures.
2. Companies Act Compliances:
- Ensure adherence to the provisions of the Companies Act, including filings with the Registrar of Companies (RoC), annual general meeting (AGM) compliance and director-related compliances.
- Draft, review, and maintain statutory registers, minutes, resolutions, and other compliance documents.
- Assist in the preparation and filing of annual financial statements and returns as required under the Companies Act.
- Drive the design, preparation, finalisation and dispatch of Annual Report of the Company
- Ensure adherence to IEPF Compliances as may be applicable to the Company
3. RBI Regulations Compliances:
- Keep abreast of changes in RBI regulations that impact the company and ensure compliance with the applicable laws.
- Coordinate with the internal and external teams to ensure compliance with RBI related filings and requirements, especially for financial institutions, if applicable.
4. Corporate Governance:
- Support the board in its functioning, including scheduling and organizing board meetings, preparing agendas, and preparing minutes of meetings.
- Ensure that the company complies with corporate governance practices and guidelines as prescribed by SEBI and other regulatory bodies.
5. Other Legal and Regulatory Compliances:
- Keep track of changes in relevant legislation and ensure timely implementation of new requirements.
- Liaise with external advisors, regulators, and legal teams to ensure smooth compliance operations.
- Assist in the review of contracts, agreements, and other legal documents from a compliance perspective
Skills and Qualifications:
- Qualified Company Secretary (ACS) with 5-10 years of post-qualification experience in corporate governance, compliance, and legal matters.
- Strong knowledge of the Companies Act, 2013, SEBI Listing Regulations, and RBI guidelines.
- Experience in preparing and filing documents with the Registrar of Companies (RoC) and SEBI.
- Strong understanding of corporate governance principles, legal documentation and statutory filings.
- Excellent communication, drafting, and organizational skills.
