Corporate Legal Manager (Non Litigation)

Role & responsibilities

• Provide legal advice on various corporate matters, including corporate governance, intellectual property, regulatory compliance, mergers and acquisitions, and business operations.
• Advise senior management and internal stakeholders on legal implications of business strategies and decisions.
• Draft, review, and negotiate a wide variety of commercial contracts such as service agreements, supply agreements, confidentiality agreements, and licensing agreements.
• Ensure contracts comply with company policies and applicable laws and regulations, protecting the company's legal and business interests.
• Ensure the companys operations comply with local, national, and international regulations, including industry-specific regulations.
• Develop, implement, and maintain compliance programs, policies, and training for employees on legal compliance matters.
• Provide guidance on best practices in corporate governance and help the company maintain sound governance frameworks.
• Assist in the preparation of board and shareholder meetings, including drafting resolutions, minutes, and reports.
• Keep up-to-date with changes in regulations and laws that affect the companys operations and proactively advise on potential impact.
• Prepare and file necessary legal documents with regulatory authorities.
• Advise on matters related to intellectual property, including trademarks, copyrights, patents, and trade secret.
• Support the company's intellectual property strategy, including managing IP portfolios, enforcing rights, and facilitating IP licensing agreements.
• Provide legal support for corporate transactions, including mergers, acquisitions, joint ventures, and strategic partnerships.
• Assist with due diligence, document preparation, and negotiations to ensure the legal integrity of such transactions.

Preferred candidate profile

• Strong knowledge of corporate law, compliance, contract law, and regulatory affairs.
• Excellent drafting, negotiation, and communication skills.
• Strong attention to detail and ability to manage multiple tasks efficiently.
• Sound judgment and decision-making abilities.
